01. ACCEPTANCE OF CONTRACTUAL TERMS

By accessing, deploying, licensing, or executing any telephony gateway, automated dispatch interface, or contractor call-routing protocol provided by Book Call ('Company', 'Platform', or 'We'), you ('Contractor', 'Client', or 'Subscriber') enter into a legally enforceable covenant. This agreement supersedes all preliminary verbal representations, bid proposals, or informal communications. If your organization operates under a Hawaii general or specialty contractor license (pursuant to HRS Chapter 444), you affirmatively certify that your primary signatory possesses authorized corporate capacity to bind your business entity to these standard operating conditions.

Continued platform utilization subsequent to any posted revisions constitutes explicit affirmation of the amended provisions. If you do not consent unreservedly to every provision set forth herein, you must immediately terminate platform access and sever programmatic webhook links.

02. CONTRACTOR SERVICES & TELEPHONY INFRASTRUCTURE

Book Call supplies specialized call-capture, automated scheduling pipes, IVR branching engines, and programmatic SMS notification gateways structured for trade professionals operating across Oahu, Maui, Hawaii County, and Kauai. The service scope encompasses platform availability, API uptime maintenance, and secure transmission protocols between customer endpoints and your dispatch consoles.

  • Direct integration of 808-area-code inbound telephony routing and automated IVR triage systems.
  • Cloud storage and cryptographic retention of customer call records, transcripts, and job dispatch logs.
  • Outbound SMS appointment reminders calibrated to federal TCPA standards and Hawaii state telecommunications rules.
  • Strict role-based access management allowing designated site foremen and administrative staff independent credentialing.

03. PAYMENT TERMS, FEES & AUDIT RIGHTS

Subscription fees, telephone line leasing charges, usage-based compute increments, and custom software maintenance retainers are billed in advance on a recurring monthly cycle. All invoices must be settled via automated clearing house (ACH) transfer or authorized commercial credit card within fifteen (15) calendar days from invoice transmission. Delinquent accounts incur a statutory compounding surcharge of 1.5% per month or the highest interest threshold legally permissible under Hawaii Revised Statutes § 478-2.

In the event of an unresolved payment default exceeding thirty (30) days, Book Call reserves the unrestricted right to suspend inbound call bridging, divert incoming telecommunications to an automated offline notice, and report ledger defaults to commercial credit agencies. The contractor agrees to reimburse all legal expenditures, collection fees, and arbitration costs necessitated by collection enforcement.

04. LIMITATION OF LIABILITY & STATUTORY DISCLAIMERS

Telecommunications pipelines operate over distributed public carriers, undersea fiber channels, and third-party wireless networks subject to localized power failure, weather disruption, and carrier outages. Under no circumstances shall Book Call or its affiliates be liable for missed contractor dispatch alerts, lost construction bids, delayed material orders, or consequential economic damages arising from momentary transmission latency.

CRITICAL LEGAL DISCLAIMER: 'AS IS' & 'AS AVAILABLE'

THE BOOK CALL INFRASTRUCTURE, PROPRIETARY ROUTING SCRIPTS, AND DISPATCH INTERFACES ARE PROVIDED STRICTLY ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY NATURE, WHETHER EXPRESSED, STATUTORY, OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE HAWAII STATE LAW, BOOK CALL EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR CONSTRUCTION SPECIALTY, SYSTEM SECURITY, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF BOOK CALL FOR ALL CLAIMS EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CONTRACTOR DURING THE PRECEDING THREE (3) MONTHLY BILLING CYCLES.

05. GOVERNING LAW, JURISDICTION & ARBITRATION

This covenant, along with any disputes arising out of the performance or breach thereof, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of Hawaii, without giving effect to any conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the Circuit Court of the First Circuit (Honolulu, Hawaii) or the United States District Court for the District of Hawaii.

Both parties explicitly waive any procedural objections regarding improper venue or forum non conveniens. In the event of litigation or binding arbitration, the prevailing party shall be entitled to recover reasonable attorney fees, court fees, and necessary investigative disbursements pursuant to Hawaii Revised Statutes § 607-14.
